SOCIAL PACT

The nine Municipal Associations have signed a shareholders agreement (Social Pact) with the project granting
everyone the rights and responsibilities of shareholders.  This unprecedented advanced social
infrastructure offers complete support to the project in each community.  The net result is a significant reduction of risk for the country and the project, thanks to an alignment of interests between communities and the project.
The Social Pact is a juridical instrument through which the Nine (9) Municipal Associations, the Association “Poder para Todos,” and ODEPAL committed to establishing a set of clear, precise rules, of obligatory nature for all parties involved in the project known as CORREDOR INTEROCEANICO DE GUATEMALA for the purpose of regulating and guaranteeing the actions and conduct of its members, thus achieving at all times permanent sustainability and legal certainty for operation and execution of the Corridor.
To that effect, the parties agreed that the Corredor Interoceánico de Guatemala should be, at all times, competitive and productive, within the local and international market, in order to achieve improved parameters of equity, favoring social inclusion, eradication of poverty, preservation and protection of natural resources and the environment.


Goals:

To seek better distribution of income, promoting creation of small and medium-sized businesses, a better qualified labor force, and job growth, becoming, furthermore, a permanent means for sustainable development.
At all times, to fulfill responsibilities, as befits shareholders, according to the laws of the country and, specifically, according to what is set forth in the by-laws of the company Corredor Tecnológico de Guatemala, Sociedad Anónima (Technological Corridor of Guatemala, Inc.) and within the framework of the local public-private alliance.
To uphold, at all times, the principles of common good, entrepreneurial social responsibility, and precise criteria of efficiency and efficacy in the operation of all phases related to the Technological Corridor of Guatemala, respecting absolutely national and international law.
To uphold and respect the principles of free competition, freedom of business, and absolute respect for the objectives and goals of sustainable development, within the framework of social equity and justice.
To uphold and consolidate transparency in every aspect and operation of the Corridor, including specifically tax payments, rendering of accounts, and other obligations established by the nation’s laws.
To provide the company with the quality, trust, competitiveness, and productivity for development of all operations, within the framework of the principles of entrepreneurial social responsibility and promotion of the economy.
To provide the company with solid direction, administration, and management, assuring strength of its leadership organizations such as the Board of Directors and the Consulting Technical Board.  In that regard, there will be an International Consulting Board responsible before the International Logistics Institute (ILI), Barcelona, Spain.
To facilitate and support the institutional strengthening of the nine municipal associations, through strategic and operative planning, management and assignment of funds, and training of personnel, mainly managerial level, seeking job stability and efficiency to meet the goals of “The Corridor,” as well as to assure direct benefits for the population at large and the forty-six municipal districts included within the territory of “The Corredor Interoceánico de Guatemala”
To promote creation of a figure that will incorporate and strengthen institutional formation and training for the partner associations of “The Corridor” in order to consolidate decision making;
To participate in the distribution of earnings and assets resulting from a liquidation, to vote in assemblies, among others, as established in the by-laws of Corredor Tecnológico de Guatemala, S.A. and all other internal regulations.
